Terms of Service

1. About These Terms

Zamel Star Pty Ltd (ABN 61 703 449 469), trading from Melbourne VIC, provides professional business and consulting services. These terms apply to all engagements unless a separate written agreement is signed between you and Zamel Star Pty Ltd. Where a separate engagement agreement exists, its terms will prevail over these Terms of Service to the extent of any inconsistency.

2. Services and Engagements

The scope, deliverables, timelines and fees for each engagement will be set out in a written proposal or statement of work provided to you before work commences. Services are provided on the basis of the information and materials you supply. Delays caused by incomplete, late or inaccurate information may affect delivery timelines and, where applicable, fees.

3. Fees, Quotes and Payment

All quotes issued by Zamel Star Pty Ltd are valid for 30 days unless otherwise stated. Fees are exclusive of GST unless expressly stated otherwise. Invoices are payable within the period stated on the invoice. Late payments may attract interest and recovery costs as permitted by law. We may suspend services where payment remains outstanding after written notice.

4. Client Responsibilities

You agree to provide accurate, complete and timely information reasonably required for us to deliver the services, to respond to requests for input within agreed timeframes, and to ensure that any materials you provide do not infringe the rights of any third party or breach any law.

5. Intellectual Property

All intellectual property created by Zamel Star Pty Ltd in the course of an engagement remains our property until full payment is received, at which point ownership of the final deliverables transfers to you. Our pre-existing tools, templates, methodologies and know-how remain our property at all times. You retain ownership of materials you supply to us.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purposes of the engagement. This obligation survives the completion or termination of any engagement.

7. Australian Consumer Law

Nothing in these Terms of Service excludes, restricts or modifies any rights or remedies you have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable legislation that cannot lawfully be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including guarantees as to due care and skill and fitness for a particular purpose where that purpose is made known to us.

8. Limitation of Liability

To the maximum extent permitted by law, Zamel Star Pty Ltd is not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, data or business opportunities, arising from the services. Where liability cannot be excluded, our total aggregate liability for any claim is limited to the fees paid by you for the specific service giving rise to the claim. This limitation does not apply to liability that cannot lawfully be limited, including liability under the Australian Consumer Law.

9. Advice and Disclaimers

Our consulting output is prepared for your internal business use based on the information available at the time of delivery. It does not constitute legal, financial, taxation or accounting advice unless expressly stated in writing. You should obtain independent specialist advice where appropriate before acting on any recommendations we provide.

10. Termination

Either party may terminate an engagement by giving 14 days' written notice. You remain liable to pay for all services performed and costs reasonably incurred up to the date of termination. We may terminate immediately where you breach these terms materially, become insolvent, or fail to make payment when due.

11. Privacy

Our collection, use and handling of your personal information is governed by our Privacy Policy. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

12. Website Use

The content on this website is provided for general information only. You must not reproduce, distribute or use any content from this website without our written permission. Links to third-party websites are provided for convenience and we do not endorse or accept responsibility for their content.

13. Governing Law

These Terms of Service are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria.

14. Changes to These Terms

We may update these Terms of Service from time to time. The current version will always be published on this page with the date of the most recent revision. Continued use of our services after changes are published constitutes acceptance of the updated terms.
